Regulations of the Nanoemi store

1. General provisions

The nanoEMI store available at the Internet address https://nanoemi.com/shop/ is run by nanoEMI, CEZAMAT Center, Poleczki 19 Str., 02-822 Warsaw, Poland with the NIP number ………… ………, hereinafter referred to as the Seller or nanoEMI. NanoEMI conducts sales via the Internet on the basis of these Regulations. The Regulations are an integral part of the sales contract concluded with the Customer. The condition for concluding a sales contract is the acceptance of the Regulations by the Customer.

2. Definitions

  • Online store: means a store located in the domain https://nanoemi.com/shop/, which is an online platform that allows the purchase and sale of products offered by the seller.
  • Seller: An entity operating an online store, responsible for selling and delivering products to customers. In the case of this store, the seller is the company/organization that manages the online store, specializing in the sale of graphene and Emighraph composite.
    – Customer: A natural or legal person making purchases in the online store, ordering products, including graphene and Emighraph composite, offered by the seller.
  • Customers who are consumers refer to natural persons making purchases in the online store for purposes not directly related to their professional or business activities. This means that these are people who purchase products or services for private purposes, not related to running a business. Customers who are consumers exercise their rights as consumers in accordance with applicable consumer law.
  • Graphene: a single-layer carbon material with unique electronic and mechanical properties.
  • Emighraph composite: An innovative material created by combining graphene with other substances or materials, such as polymers or metal. The Emighraph composite exhibits unique properties, combining the benefits of graphene with additional features provided by other components, making it extremely versatile and useful in a variety of applications.

3. Products and Availability

4. Orders

  • The customer can place orders through our website using:
  • In order to complete the order, the customer must provide data enabling verification of the customer (ordering person, company, tax identification number, address, e-mail) and the recipient of the goods. Confirmation of acceptance of the order will be sent by e-mail to the address provided when placing the order.
  • At the time of placing the order, the customer confirms that he has read and accepts these regulations.
  • The information available on the store’s website does not constitute an offer within the meaning of the Civil Code. By placing an order, the customer submits an offer to purchase a specific product. The sales contract is concluded after the Seller confirms the acceptance of the order for execution. Making a payment to the Seller’s account is necessary in order to accept the order for execution.
  • The order is binding on the customer and the store reserves the right to reject the order if the product is not available.
  • Setting up an account in the online store is completely voluntary and depends on the Buyer’s decision. The account allows you to view order history, check order status and independently edit the Buyer’s data. You may cancel your account at no cost by contacting us via email at info@nanoemi.com.

5. Prices and Payments

  • Completion of the order requires prior payment and can be made using various payment methods available on our website.
    • ordinary transfer to the Seller’s bank account;
  • All prices are gross prices and include VAT.
  • Payment for the order in the online store should be made within 3 working days from the date of placing the order or in accordance with the date visible on the issued proforma invoice.
  • The customer is responsible for any customs duties or taxes imposed by the relevant authorities.
  • Payment for the order can be made using the payments available on our website.

6. Shipping and delivery

  • The store makes every effort to ensure that orders are sent as soon as possible after payment confirmation.
  • If the ordered product is currently in stock, it will be shipped within 1-2 business days of posting the payment or presenting proof of payment.
  • Delivery times may vary depending on customer location and selected shipping method.
  • After ordering, the goods are sent via a shipping company selected by the Seller.
  • Shipping costs are charged according to the current price list and are visible when placing the order.
  • If the Customer ordered different products with different delivery times as part of one order, the Order will be completed on the date that corresponds to the product with the longest delivery time.

7. Returns and complaints

  • The customer has the right to return the product with a description of the complaint within 14 days from the receipt of the goods, if the product is defective or inconsistent with the order.
  • In order to use the complaint, the Customer should inform the Seller about his decision in the form of an unequivocal statement, for example by writing an e-mail to the indicated contact address info@nanoemi.com.
  • In the event of a complaint, the customer is obliged to return the product unaltered, in the original packaging, along with all documents, accessories and elements attached to the product. Direct costs related to returning the product to the Seller shall be borne by the Customer, unless the parties agree otherwise.
  • In the case of a justified complaint and the related need to send a new batch of goods to the Customer, the delivery costs are borne by the Seller.
  • In the case of Customers who are not Consumers, the basis for a complaint about the goods when the Customer considers that the delivered goods are defective or inconsistent with the order can only be documented measurements made at the Customer’s expense. The seller reserves that the specification of the goods given on the product page is only indicative and may depend on the measurement method.
  • In the case of Customers who are not Consumers, the warranty is limited to the right to submit complaints regarding the goods in the form and after delivery. In the event of interference in the form of processing the delivered goods by the Customer or subjecting them to any treatment, e.g. thermal, mechanical, physical, chemical or other, causing structural changes, the complaint will be considered unfounded.

7. Consumer's right to withdraw from the agreement

  1. In accordance with applicable law, the Customer (consumer) has the right to withdraw from the concluded sales contract without giving a reason within a specified period.
  2. The withdrawal period is 14 calendar days from the date of receipt of the goods by the Customer or in the case of contracts for the delivery of multiple parts or elements – from the date of receipt of the last part or element.
  3. In order to exercise the right to withdraw from the contract, the Customer should inform the Seller about his decision in the form of an unequivocal statement, for example by writing an e-mail to the Seller’s contact address.
  4. The customer may use the withdrawal form template, which is available on the store’s website, although it is not mandatory. The customer may also present a declaration of withdrawal from the contract in a different way, but it is important that it is unambiguous and clear.
  5. In the event of withdrawal from the contract, the Customer is obliged to return the product unchanged, in the original packaging, along with all documents, accessories and elements attached to the product. The costs associated with returning the product to the Seller are borne by the Customer, unless the parties agree otherwise to the following address:

  6. The Seller undertakes to return to the Customer all payments received, including delivery costs, no later than 14 days from the date of receipt of the Customer’s statement of withdrawal from the contract. The refund will be made using the same payment method used by the Customer, unless the Customer expressly agreed to a different solution. The customer, however, bears the direct costs of returning the goods.
  7. The customer is responsible for the decrease in the value of the goods as a result of using them in a way that goes beyond what is necessary to establish the nature, characteristics and functioning of the goods.
  8. The customer is obliged to keep the proof of conclusion of the contract and all documents confirming the purchase and delivery of the goods.
  9. Information on the withdrawal procedure, including the model withdrawal form and the Seller’s contact details for submitting withdrawal from the contract, are available on the store’s website in the “Returns and complaints” section.
  10. The Seller undertakes to comply with the provisions on the consumer’s right to withdraw from the contract and to provide the necessary assistance to the Customer in the event of notification of withdrawal from the contract.
  11. In the event of withdrawal from the contract, the Seller is obliged to return to the Customer all payments received, including delivery costs (if applicable), using the same payment method that the Customer used when making the purchase, unless the parties agree otherwise.
  12. Withdrawal from the contract results in termination of the contract without the need to incur any additional costs, apart from the costs of returning the goods, unless the Seller has agreed to cover these costs.
  13. The customer is responsible for properly packing the returned goods in order to ensure their safe transport.
  14. In the event of defects in the goods or differences in the ordered product, the Customer has the right to exercise other rights, such as a guarantee or a complaint, in accordance with applicable law.

8. Exceptions to the right of withdrawal from the contract

The right to withdraw from the contract does not apply in the case of:

  • delivery of goods that have been made according to the customer’s specifications or are clearly individualized.
  • when the subject of the service is goods which, due to health protection or hygiene reasons, are delivered in a sealed package, and the package was opened after delivery.
  • when the item is goods with a short shelf life or will be stored.
  • when the subject of the service is goods which, due to their nature, are inseparably connected with other items after delivery.

10. Limitations of Liability

  1. The online store makes every effort to ensure the accuracy and completeness of the information contained on the website. However, we are not responsible for any errors, outdated information or inaccuracies in the content presented.
  2. The online store is not liable for damages resulting from:
    a) improper use of products sold by the Store;
    b) acts or omissions of the Client;
    c) the use of improper methods of installation, maintenance or use of the products;
    d) force majeure, such as natural disasters, accidents, riots, technical failures, hacker attacks, etc.
  3. The online store is not responsible for any damages resulting from the use of the website, including data loss, system disruptions, viruses, hacker attacks, or other events beyond the Store’s control.
  4. The Online Store is not responsible for the content, opinions, comments or actions of third parties posted on the Store’s website.
  5. The online store is not responsible for any damage resulting from improper or unauthorized use by third parties of the Customer’s login details.
  6. The online store is not responsible for unavailability, interruptions in operation or other technical problems related to access to the website, caused by events beyond our will.
  7. In no case shall the Online Store be liable for any indirect, incidental, consequential or other damages, including loss of profits or financial losses, resulting from the use of products or services offered by the Store.
  8. The limitations of liability set out in these terms and conditions are without prejudice to applicable liability laws, which may not be excluded or limited in an unauthorized manner.
  9. In the event of any damage or claims arising from the use of the Store’s services, the Store’s liability will be limited to the value of the order that is directly related to the claim.
  10. In the case of complaints regarding the quality or non-conformity of the goods, the Store’s liability will be limited to replacing the product or refunding its purchase price.
  11. The online store is not liable for damages resulting from improper use or application of products sold by entities other than the online store, even if such products were purchased through the store.
  12. The limitations of liability regarding the Online Store apply to the fullest extent permitted by applicable law.
  13. In the event that the limitations of liability set out in these terms and conditions are found to be illegal or incorrect under applicable law, our total liability will be limited to the maximum extent permitted by law.
  14. The Customer agrees that the use of the services of the Online Store is at their own risk, and the Store is not responsible for any damage resulting from such use.
  15. When considering any claims or disputes arising from the use of the services of the Online Store, the provisions of law applicable to the registered office of the Store will apply.
  16. The online store makes every effort to ensure the security of the transmitted data and the operation of the website in accordance with the highest standards. Nevertheless, the Store is not liable for damages resulting from unauthorized access to the Customer’s data or other security breach, unless it results from our gross fault.
  17. The customer undertakes to comply with all recommendations, instructions and terms of use for products purchased in the Store in order to avoid possible damage or problems.
  18. These limitations of liability apply to all aspects of using the services of the Online Store, including the purchase of products, use of information, participation in promotions and other activities related to the functioning of the Store.
  19. The online store is not responsible for any damages or losses resulting from the unavailability of the website or interruptions in its operation, both planned and unplanned.
  20. The customer is obliged to read the terms and limitations of liability set out in these regulations before using the services of the Online Store. By using the Store’s services, the Customer agrees to these terms and limitations of liability.

11. Protection of personal data

    – Customers’ personal data are processed in order to fulfill orders, handle complaints and provide services available in the online store.
    – Customers’ personal data may also be processed for marketing purposes, such as sending commercial information, promotional offers and other marketing materials, if the Customer has consented to it.
  3. Legal basis for processing personal data
    – The legal basis for the processing of Customers’ personal data is the sales contract or taking action at the Customer’s request in order to conclude the contract.
    – In the case of processing personal data for marketing purposes, the legal basis is the consent of the Customer.
  4. Recipients of personal data
    – Customers’ personal data may be made available to entities such as payment service providers, courier companies responsible for the delivery of orders and other entities involved in the execution of orders and the provision of services.
    – Customers’ personal data may be transferred to public authorities if it results from applicable law.
  5. Period of storing personal data
    – Customers’ personal data will be stored for the period necessary to fulfill orders, handle complaints and fulfill other purposes specified in point 2.
    – Personal data processed for marketing purposes will be stored until the Customer withdraws his consent.
  6. Customer rights related to personal data
    – The customer has the right to request access to his personal data, correct them, delete or limit processing.

    – The customer has the right to transfer personal data, i.e. to receive personal data from the Administrator in a structured, machine-readable format.
